Audax Group. An excellent first quarter of 2023

May 2023. The numbers for this first quarter demonstrate how the actions undertaken by the Group in previous years – which we know were marked by market volatility – are yielding extremely positive results. A fact that, in light of events such as the conflict in Ukraine or the aftermath of the pandemic, takes on particular importance.

Between January and March there was an increase in 18% of the net result (reached 2.39 million euros), but above all of the 41% of the gross margin (which reached 50.9 million euros) and of the 47% of theEBITDA (reached 23 million euros) compared to Q1 2022. The result relating to the gross margin is mainly attributable to the rapid recovery of the markets in the rest of Europe, thus reaping the benefits of the measures implemented in 2022, such as the exit from the gas market in Poland and the increase in profitability in Hungary and the Netherlands. The EBITDA result is due to the improvement in the results of the rest of Europe and the choices designed to guarantee a gross margin in the Iberian peninsula, even in scenarios of falling prices.

The sales is, instead, decreased of the 5%, following the reduction in prices on the electricity and gas markets. The evolution of currencies in the markets of the rest of Europe, particularly in Hungary, was unfavorable for the comparative financial result.

Audax has continued to develop, build and commission its generation portfolio, despite delays in completing administrative procedures by some entities. During this period, the investment plan planned for the various photovoltaic projects in the portfolio has continued. To date, there are 245 MW of installed power (+9%).

In the first quarter of 2023, the Group's balance sheet, both as a result of the agreement in Spain with Shell and the strategies implemented in the rest of the European countries in which the Group operates, showed a substantial improvement compared to the same period last year.

 D. Hi Giorgio, tell us about Audax Renewables and its approach to business and the market…

 R. I work at Audax Renewables Italia, a company that – as the name suggests – provides 100% renewable energy to the Italian market. We were founded in 2014, but our history is linked to that of a Spanish energy group – Audax Renovables – which deals not only with selling but also with producing electricity from photovoltaic and wind power.

I'll give you some numbers to better understand our reality: we are present in 9 countries, we supply electricity and gas to over 400 thousand customers - mostly SMEs and industry - for a turnover that in 2022 exceeded 2 billion euros. On the renewable generation side, our pipeline is over 2,500 MW.

The history of the Audax Group is that of a company that has achieved important results in a rather short period of time and in a market – the energy one – that is substantially immobile, in which it is difficult to enter and carve out a significant space, considering the presence of operators that enjoy decades-long positional rents.

In my opinion, Audax has succeeded through a combination of elements. First of all, a pragmatic and agile entrepreneurial attitude capable of seizing opportunities without delay, when they arise. Then thanks to the foresight of having focused on the development of clean and renewable sources and offered customers innovative supply solutions that are different from those of the competition. Finally, an attitude that I would define as “resilient” has allowed us to face critical events or periods thanks to a flexible and dynamically adaptable approach, so as to find a balance in a short time and continue with our plans without excessive upheavals. We have learned to do this in these rather complicated years: the Covid-19 pandemic, the subsequent economic crisis and the consequences on the energy market of Russian aggression in Ukraine.

 

D. Well, we understand that a company like Audax Renewables has evolved a lot in recent years... But what relationship does the company have with technology?

 

R. A “secular”, open, curious and pragmatic relationship. We are aware that without it it would be difficult to grow, generate profit, look ahead. Technology, on the other hand, “informs” every aspect of the company and its business. There is, first of all, the one that governs the production of photovoltaic and wind energy (from solar panels to wind turbines, with everything that lies behind them). A technology that has required large investments of time, people and economic resources in Research & Development and that today we know is increasingly high-performance and efficient, even in terms of costs.

Then there is the widespread nature of digitalization that has revolutionized business processes – streamlining them, automating them, integrating them with each other – and that has allowed for increased productivity, reduced errors, and better planning of choices.

Extremely useful for the normal running of current activities within the company, it has literally transformed the customer care, with a series of initiatives that were unthinkable just a few years ago and through which we can follow and support our customers in an increasingly close manner.

The building blocks of this transformation are both the various and most advanced management software available on the market and IT programs built specifically to meet our needs.

On the customer side, we cannot fail to mention the mobile application – with all the services it includes, starting from the personal management of your contract – and the entire range of remote assistance services, real and virtual, instant messaging and payment (up to PagoPA).

 

D. How do you imagine the future of TLC in the company?

 

R. We can only believe in an ever-increasing integration of TLC into processes. For example, considering only the debt collection sector in which I operate on a daily basis, the contribution of technology has been fundamental in achieving an improvement that is both measurable and long-lasting over time.

Furthermore, we are waiting – probably for the beginning of April – for the release of a dedicated software, built not only to speed up processes (such as reminders, reminders, suspension), but also to make them more accurate and precise. These latter characteristics are essential in a “delicate” field such as debt collection.

 

D. Do you have a "colorful" event to tell? What did you find and how have daily life and processes changed since you've been in the company?

 

R. Let me think about it… We were at the beginning and as pioneers you first had to put up a “flag” to mark the borders of your territory and then worry about giving it a complete shape. In that initial phase, I remember a few trips to the post office near our Turin headquarters loaded with paper envelopes containing the “messa in mora” printed one by one and put in envelopes…

A heroic, but fortunately short, period before technology came to our rescue, freeing up precious time!

March 2023. Thanks to its vertical integration between renewable energy generation and electricity and gas supply, the Audax Group has been able to successfully manage the high volatility of global energy markets, marked – as is known – by the conflict in Eastern Europe and the increase in raw material prices.

The business optimization measures implemented during the year, the market diversification policy and the 9% increase in new installed capacity (which reached 245 MW) resulted in growth of 17% of gross margin (144 million euros) and of the 16% of EBITDA (54 million euros). The net result has reached the 7.8 million of euros, a return to positive territory after the loss of 3.3 million in 2021.

 

Audax has increased the weight of generation in its contribution to EBITDA, going from 27% in 2021 to 42% in 2022; this is a result resulting from the commitment to a vertically integrated business that bets on renewable energy generation at 100%. EBITDA in generation increased significantly compared to the end of 2021 as a result of the higher installed capacity and the higher sales price.

This generation EBITDA comes from a portfolio valued – at the end of last year – at 129 million euros by an independent entity; the portfolio still has 130 million euros of assets that do not generate EBITDA because the operational phase has not yet started. A figure that highlights the great potential of the Group's generation activity.

 

As for the gross financial debt, the company has managed to reduce its debt level by 130 million euros, bringing it to 642 million euros and consolidating its financial position in order to continue in the roadmap of project development and addressing short-term maturities. As a result of its liquidity and capital management policies, the company generated $152 million in operating cash flow, allocating a total of $45 million for new investments and $146 million to reduce debt.

On a pro forma basis, if the recent Market Access transaction with Shell Energy Europe Limited in Spain had had an impact on the full 2022 financial year, Audax would have generated approximately €50 million of additional free cash flow.

 

Audax continues to make progress in its organic and inorganic growth policy, which has allowed it to increase its 14% supply points over the last four years, reaching 387,000 today and having provided a total of 13 TWh of energy. Over the past year, due to the evolution of the markets and the risks arising from volatility, the company has focused its efforts on strengthening profitability, implementing measures aimed at diversifying the portfolio and mitigating risk in all the countries in which it operates. In this sense, it has reduced its supply points by 25% and the volume of energy supplied by 15% compared to the previous year, which has translated into a positive evolution of both its gross margin and EBITDA. Today, electricity supply points represent 80% of the total and gas points the remaining 20%.

The markets where vertical integration is more implemented (mainly in Southern Europe), are the ones that have had the best performances during this exercise. Looking at the country, Hungary has the greatest weight in electricity, representing 45% of the total energy supplied by the group, while for gas, the Netherlands leads with 52% of the total. The Iberian Peninsula area, on the other hand, represents practically a third of the total, in both raw materials.

The main target remains the industrial, which represents 93% of its total portfolio. The domestic customer during the 2022 financial year reduced its weight from 11% to 7%, a result of the efforts made to advance in the company's historical target segment, namely SMEs.


Globally, the Audax production during 2022 it was 258 GWh (if Panama is considered), for an increase of 29% compared to the previous year. Production on the Spanish market grew significantly (70%) as a result of the contribution of new photovoltaic plants, which added 90 GWh.

In terms of the evolution of the projects and following the compliance with the objectives contained in RDL 23/2020 in Spain, the Audax Group's portfolio stands – at the date of publication of this note – at 1.4 GW. The company continues to advance in its planned development and construction operations, starting work on 26 MW and putting 19 MW of photovoltaic plants into operation.

The Group has projects for 141 MWp at a very advanced stage with a favorable environmental impact statement (DIA) and for another 323 MWp in a state very close to the so-called “Ready to Build”. To these, 26 MWp must be added under construction and 245 MW already in operation.


During 2022, the company strengthened its strategic direction and sustainability management with the aim of continuing to make ESG progress. The Board of Directors approved the new sustainability policy and introduced a professional figure in the company who will be responsible for its development and execution.

The strategy is structured around the three ESG pillars, namely environmental, social and governance sustainability. On these bases, actions and initiatives capable of leading to concrete improvements in performance have been defined and will continue to be defined over time.

 

For Jose Elias, President of Audax Renovables, "we have once again been able to successfully navigate a year in which the market has put us to the test. Our solid strategy for renewable energy generation and the optimization of our customer portfolio, combined with the achievement of important strategic agreements with high-level partners, will allow us to further increase Audax's competitiveness".

February 2023 | Audax Renovables has signed a strategic agreement with Shell Energy Europe Limited for the supply of electricity and gas in Spain. In this way, Audax secures both a competitive supply of electricity and gas and the strategic advantage of sustainable and profitable growth.

The agreement provides Audax with greater opportunities for future direct access to the wholesale market, immediately improving its cash position and increasing its competitiveness, thus offering product differentiation to its customers.

Furthermore, the agreement signed also gives Audax Renovables a new impetus to achieve the objectives of its strategic plan based on the vertical integration of generation and supply activities and a solid financial position.

For José Elías, president of the Audax group, “This partnership demonstrates the company's unwavering commitment to its customers and shareholders to ensure an efficient energy supply, optimizing management through a careful cost control strategy and attractive growth opportunities. The transaction, which has an immediate impact on our cash position, will also give us a greater competitive advantage in a complex market environment and will allow us to grow steadily without worrying about market price fluctuations”.

Audax, which closed the third quarter of 2022 with more than 396,000 supply points, thus strengthens its growth plans in Spain, placing itself in a good position to increase its customer portfolio over the next year.

We do not know how the years just passed – 2020-2022 – will be considered by those who, in the future, will have the task of reading and giving a critical interpretation of what happened, perhaps finding a specific name for the era we are living in. Without a doubt, it has been an exceptional period, with the Covid-19 pandemic as a common thread capable of changing, sometimes temporarily, sometimes forever, what we have known until now. And the great social and economic uncertainty generated in this period, just when it seemed to be on the way to being resolved, has found new life, this time in the consequences of the Russian military aggression in Ukraine.

Already in the ebook published a year ago, we reflected on the importance of having a "resilient" attitude. Today, we confirm what we said. Resilience, in fact, has the merit of giving full consistency to that very human ability to know how to face negative and critical events or periods, not so much through a firm and intransigent opposition, but rather a flexible and dynamically adaptable attitude that leads to knowing how to reorganize and find a balance following adversity, having the opportunity to emerge from it, if possible, strengthened. But not only that. It is also a way of looking with optimistic rationality to the future, fearlessly aiming for growth without upsetting plans already decided.

A choice that is proving to be a winning one for us at Audax Renewables Italia. And not only in terms of economic results, which also say a lot: the turnover has reached 169 million euros (in 2021 it was 90 million) and the EBITDA has gone from 1.9 million to 5.2 million, for a number of customers that has grown to 40 thousand units with a particular spread in the production sectors (from small businesses to SMEs to industry). But also for having bet on growth starting from those who "make the company" every day, filling it and giving it life with their presence, their time and therefore their work. In this difficult period the Audax team has increased both in terms of employees and external collaborators and consultants. Furthermore, under the pressure of the changed ways of working imposed by the pandemic, the space in which to meet has also been rethought, hence the decision to move to a more comfortable, dynamic, open place, a place where you can work according to smart, flexible logics and no longer just "office-centric" as happened in the past. Thus, after the inauguration of the new and larger Milan office, an important change is also planned for the Turin office.

Added to this was a deep work of design and implementation of customer services. A notable organizational effort for a growing company like Audax Italia and which has seen the introduction of advanced customer care and customer management systems, for an increasingly close and immediate relationship with those who have chosen us.

We believe that only by continuing on this resilient – and courageous – path will it be possible to overcome this long critical period.

Among the words that have made their way over the last five years, it is difficult not to mention "transition".

"Transition", that is, the period necessary if you want to profoundly change a situation without this leading to a radical change and uncertain outcomes, that is, to a "revolution". Each Transition is made up of a succession of a series of phenomena - very specific - which, intervening in and on everyday reality, modify it to the point of giving rise to something different from the starting point. "Transition" towards a sustainable, decarbonized and circular economy, but also "digital transition" and "energy transition".

And it is precisely this latter, essential for the very life of our societies, that requires changes as decisive as they are tolerable by the entire system. A decarbonized world is achieved by building the conditions so that clean and renewable sources - sun, wind first and foremost - are able to provide, in complete safety and continuity, what is necessary for the development and well-being of people.

In this sense, the strategic choices of the Audax Renovables Group are closely linked to the concept of energy “transition” as a necessary moment of transition to be prepared for the complete elimination of fossil fuels. And the results, not only economic and financial, demonstrate that the choice to focus on renewable energy has been far-sighted and successful. Both in the past and in this 2022, a doubly difficult year because it is the first post-pandemic (thanks to the repeated vaccination campaigns that have allowed a resumption of activities) and because it is deeply marked by the Russian aggression against Ukraine, with its serious consequences on the stability of the energy market, particularly the European one.

 

So, what is Audax Renovables' contribution to the Transition? Our Group markets and produces 100% renewable electricity thanks to the growing amount of green energy generated in photovoltaic and wind farms around the world and through major agreements for the purchase of clean energy and CO2-free gas.

Now let's look at some data. In 2022 - data as of September - 226 MW of installed power were in operation (+55%), for an increase of 98% of the energy produced. A remarkable result. Even considering the projects already started - in various stages of development, from early stage to operation - MW rises to over 2,500.

A portfolio that includes wind and photovoltaic parks present in European countries such as Spain, Portugal, France, Poland and Italy and overseas nations such as Panama.

Just looking at these months, you can find two important photovoltaic projects, both developed in Spain. The first, Zaratán, with a total power of 12.3 MWp, will be able to generate 21.5 GWh/year, which is equivalent to the energy consumption of 5,500 homes and about 17,000 people. On demand, clean energy will avoid the emission into the atmosphere of 3,800 tons of CO2 per year. The second, called La Miranda, will have a total power of 6.87 MWp, or 12.2 GWh/year, equivalent to the energy consumption of 3,500 homes and more than 11,000 people. The use of this clean energy will avoid the emission into the atmosphere of 2,500 tons of CO2 per year.

 

Added to all this are the brilliant economic and financial results recorded in recent years. In 2021, revenues amounted to 1,690 million euros, EBITDA was 52 million, while the net result brought in 2.8 million euros.

 

The future, which passes through the energy transition and a decarbonized economy, can only tend towards green energy sources.

We believe that only by continuing on this courageous path will it be possible not only to overcome this long critical period but also to move towards a more sustainable future.

And the results, not only economic and financial, show that the decision to focus on renewable energy was prospective and successful. Official Chamber of Commerce of Spain Awards 2022

Audax Renewables receives the “Energy Transition” award at the 16th edition of the Awards that the Official Chamber of Commerce of Spain in Italy dedicates to Spanish and Italian companies that have distinguished themselves in consolidating economic and commercial relations between the two countries.

The recognition was awarded to Audax Renewables – and to the entire Audax Renovables Group – for the work carried out on a daily basis and the commitment shown towards the complete replacement of fossil fuels for the benefit of renewable energies with the generation and marketing of green 100% energy.

The award was presented to Francesco Calabretta, Cluster Lead Hungary & Italy at Audax Renewables and Oscar Santos Juvé, General Manager of Audax Renovables.

The evening – held in Milan on Friday 1 December – was attended by the Spanish Secretary of State for Trade, Xiana Méndez, the Ambassador-designate of Spain to Italy, Miguel Ángel Fernández-Palacios, the Deputy Minister of Justice, Francesco Paolo Sisto, the Undersecretary of State at the Ministry of Defence and the Deputy Mayor of Milan, Anna Scavuzzo.

The sharp increases in electricity and gas bills illustrate better than any other story the difficult economic and political situation in which, unfortunately, we find ourselves. A period of great turbulence on the energy markets that began in the summer of 2021 and whose negative effects were further magnified with the invasion of Ukraine by Russia, the main energy partner of several European countries, including Italy.

The data leaves no doubt. The trend of the PUN (Prezzo Unico Nazionale), the reference price index for electricity on the Italian electricity exchange, shows how we went from an average monthly cost of 0.084 per €/kWh in June 2021 to one of 0.441 last July. A considerable imbalance, which was reached through constant and rapid growth in prices. The same can be said for gas, now at the center of the crisis also due to the implications of the ongoing war. To understand the extent of the increases, it is sufficient to remember that at the end of August, 300 euros per megawatt hour were reached, that is, ten times more than what was quoted in January 2021.

This race to the top has also led to extraordinary interventions by governments. The Italian government has allocated several billion euros – and perhaps more are planned – to curb the high cost of bills and reduce their impact on consumers and businesses. Likewise, at the community level, work is underway for a so-called “ceiling” on the price of Russian gas.

 Considering the situation, it is highly likely that the current crisis – barring unexpected events – is destined to last a long time. And it is in difficult moments like these that we realize how energy, too often taken for granted, is indispensable to carry out most of our daily activities.

In this complicated framework, Audax Renewables will continue to do what it has always done: work to offer a quality supply service at advantageous prices.

This can happen thanks to the ever-increasing share of renewable energy generated in our photovoltaic and wind plants around the world and through the stipulation of important agreements with reliable players for the purchase of renewable 100% energy. The future, the one that passes through the Energy Transition and a decarbonized economy, can only tend towards green energy sources.

To this must be added the guarantee given by a Group like Audax Renovables, which is structurally organised and financially solid.

We believe that only by continuing on this path will it be possible to overcome this critical period together.

Audax Renewables and BFF Agreement for Factoring Services in Italy and Spain

Milan, May 2022 – BFF, the largest specialized financial operator in Italy, leader in Europe in the sector factoring for the Public Administration and the National Health Service, has signed a multi-country agreement with Audax Renewables, a vertically integrated energy group that generates and supplies 100 % renewable electricity and gas in 7 countries.

 

The agreement, which provides for the sale pro soluto of commercial credits claimed by Public Administrations, in the form of revolving and for a duration of two years, applies to Italy and Spain and confirms the central role of the factoring as a support for growth and greater liquidity for companies.

Thanks to this agreement, BFF guarantees Audax Renewables a predetermined fixed cost for the mobilization of future credits from Public Administration entities.
